Marketplace terms

These marketplace terms ("Terms") apply whenever you list a machine on the Server Room GPU marketplace or rent one from it. The marketplace is operated by Data Room, Inc., operating as Server Room ("Server Room", "we", "us", "our").

They add to our Terms of Service, Refund Policy and Privacy Policy, which also apply. Where they differ on the marketplace, these Terms govern.

By registering a machine with the agent, publishing a listing, paying for a rental or adding funds to a marketplace balance, you agree to these Terms.

1. Definitions

  • Host: the person or organization that lists a machine on the marketplace.
  • Renter: the person or organization that rents a listed machine.
  • Machine: the computer a Host lists, with its GPUs, storage and internet connection.
  • Agent: the gpu-agent software a Host installs on a Machine to list it.
  • Rental: the private environment the Agent creates on a Machine for one Renter, for the period that Renter has paid for.
  • Relay: the Server Room servers through which the Agent and the Renter connect to a Machine.
  • Balance: the amount, in US dollars, that a Renter pays in advance and from which Rentals by the hour, day, week or month are paid.

2. What Server Room does and does not do

Server Room operates the marketplace: the listings, the Agent, the Relay, the Renter's billing and the Host's payouts. Server Room bills the Renter and pays the Host.

Server Room does not own, possess, house, power or maintain a Host's Machine, and does not supply its internet connection. The computing capacity of a Rental is supplied by the Host's Machine.

Nothing in these Terms makes a Host an employee, agent or partner of Server Room, or a Renter a customer of the Host for billing purposes.

3. Listing a Machine

Only a Host that has completed identity verification (section 9) can register or list a Machine. By listing a Machine the Host confirms that:

  • The Host owns the Machine or has the right to rent it out;
  • The Host has the right to use the Machine's internet connection, power and premises for this purpose, including under the terms of its internet provider, landlord or data center;
  • The information the Host gives about itself and the Machine is accurate;
  • The Host will not access, copy, inspect or interfere with a Rental or a Renter's data, and will not tamper with the Agent, its firewall rules or its checks.

A Machine is offered to Renters only while it passes the Agent's hosting checks and is online. The Host sets a monthly asking price and may also set an hourly, a daily and a weekly price. A period with no price is not offered, and a shorter period may not cost more than a longer one. The Host may change its prices, pause the listing or remove the Machine at any time when it is not rented. A price change does not affect a period already paid for.

A Host should keep a rented Machine online, powered and connected for the whole Rental. Time during which a rented Machine is offline or unavailable earns nothing and may be refunded to the Renter. Server Room may remove a listing that is repeatedly unavailable while rented.

4. The Agent

The Agent runs with administrator (root) rights on the Machine, because creating a Rental, loading firewall rules and creating an encrypted volume require them. It makes one outbound connection to the Relay and opens no port on the Host's network. It gives nobody at Server Room a shell, a login or file access on the Machine.

The Agent installs the software it needs to host a Rental, runs test rentals, measures the Machine and its connection, reports the results and problems to Server Room, and keeps itself up to date. Its source code and a description of everything it does on a Machine are published with it, under the license stated there.

The Host may stop or remove the Agent at any time. Removing it during a Rental ends that Rental and is treated as the Machine being unavailable.

5. How a Rental is isolated

Each Rental runs in its own virtual machine, or on a machine whose GPU cannot be passed to a virtual machine, in a hardened container in which the Renter is an ordinary user. The Renter does not receive a login to the Host's operating system, its firmware or its management interface.

Before a Rental starts, the Agent loads and verifies firewall rules that block the Rental from the Host's local network, from every network configured on the Machine, from private address ranges and from the Machine itself. If the rules cannot be verified, the Rental does not start.

The Renter's data is written to an encrypted volume whose key exists only in memory. When the Rental ends, the Agent removes the Rental, destroys the key and checks the GPU. A Machine whose cleanup cannot be verified is taken off the marketplace until it has been checked.

These are technical measures, not a guarantee. No isolation is perfect, and Server Room does not warrant that a Rental cannot affect a Machine or that a Machine cannot affect a Rental.

6. The Host's internet connection

A Rental reaches the internet through the Host's own connection, from the Host's public IP address. Server Room does not filter, inspect or monitor that traffic.

The Host accepts that activity of a Renter may be attributed to the Host's IP address by third parties. A Host may apply its own filtering on its network, such as blocking outbound mail, as long as the ordinary use of a Rental (SSH through the Relay, software downloads, access to public services) keeps working.

On the Host's request, Server Room will confirm in writing that a Machine was rented through the marketplace during a stated period, so that the Host can answer a complaint made against its IP address.

7. Earnings and payouts

  • A Host earns for each hour a Renter has the Machine and it is online: the price of the period the Rental is paid by, divided by the hours in that period (720 for a month, 168 for a week, 24 for a day, 1 for an hour), less a platform fee of 12%;
  • Hours in which a Machine is not rented, or is rented but offline, earn nothing, and neither do hours in a grace period (section 8) that the Renter does not pay for;
  • Earnings are paid monthly to the Host's bank account, within the first ten days of the following month, with no minimum amount;
  • A Host whose bank account is in a country our payment provider cannot pay out to, or that does not pass the payment provider's own verification, cannot be paid;
  • Fees charged by the payment provider or the Host's bank for an instant payout or a currency conversion are theirs and are borne by the Host.

Server Room may withhold, reduce or recover earnings for a Rental whose payment, or the Balance deposit that paid for it, is refunded, reversed or disputed, or which was obtained by fraud, and for time refunded to a Renter because the Machine was unavailable.

The Host is responsible for all taxes on its earnings and for any registration, invoicing or reporting its own law requires.

8. Renting a Machine

  • An order can be placed only by a Renter that has completed identity verification (section 9), whichever way the Rental is paid for;
  • A Rental by the month can be paid by invoice: it is billed monthly in advance at the Host's monthly price plus a platform fee of 5%, shown before payment. The order is reviewed before the Rental is delivered, and an order that does not pass review is cancelled and refunded;
  • A Rental by the hour, day, week or month, for a period the Host offers, can be paid from the Balance: each period is taken from the Balance when it starts, at the Host's price for that period plus a platform fee of 5% (at least one cent), shown before ordering, and the Rental starts without a further review. Nothing is given back for a period that has started, except that a period whose Machine never starts is returned to the Balance;
  • The Balance is paid in advance, in US dollars, and a Renter's first deposit is reviewed before the Balance can be spent. Unused Balance does not expire and is refunded on request. A deposit that is refunded, reversed or disputed is taken back out of the Balance, and a Balance below zero ends the Rentals it was paying for;
  • A Rental paid from the Balance runs until the Renter ends it, asks for no further periods, or the Balance cannot pay for the next period. In the last case the Renter is emailed, and when the last paid period ends has a grace period of one hour (fifteen minutes for a Rental by the hour) to add funds, after which the Rental ends and its data is destroyed;
  • A Machine listed by a community Host carries no service level. A Machine listed by a data center partner carries the service level shown on its order page, given by that partner;
  • A Rental is not backed up. Its data is destroyed when the Rental ends or the Machine is withdrawn, and cannot be recovered. The Renter is responsible for keeping copies of its data elsewhere;
  • If a Machine rented by invoice becomes unavailable, the Renter's remedy is a refund for the time not delivered. A Rental paid from the Balance is governed by the rule above for a period that has started. Refunds are otherwise governed by the Refund Policy.

Section 9 of the Terms of Service (acceptable use) applies to every Rental. In addition, a Renter must not:

  • Attempt to leave the Rental, gain rights on the Machine, or reach the Host's network, devices or data;
  • Attempt to change or damage the Machine's firmware or hardware, or run it outside the limits its manufacturer sets;
  • Use a Rental for port scanning, denial of service, intrusion, spam, malware, botnets, or to store or distribute illegal content;
  • Resell or share access to a Rental in a way that hides who is using it;
  • Attempt to identify or contact the Host outside the marketplace.

9. Identity verification, abuse, records and legal requests

Identity verification is required of everyone on the marketplace. A Host must verify its identity before it can register or list a Machine, and a Renter must verify its identity before it can place an order for a Rental, whether it is paid by invoice or from the Balance. The payment provider verifies a Host again, separately, before the first payout. A company verifies the company and the person acting for it. Server Room may ask for verification again when account details change or a review calls for it.

Server Room may suspend or end a Rental immediately and without refund when it has reason to believe the Renter is breaching these Terms.

A Host that receives a complaint or sees abuse coming from a Rental should report it to support@serverroom.net with the time and the evidence it has.

Every Rental is tied to a Renter account, its payment records and the connections made to it through the Relay. Server Room keeps those records and discloses them where required by law, court order or valid legal process. Server Room does not disclose a Renter's identity to a Host, or a Host's identity to a Renter.

10. Risk, damage and insurance

The Host bears the ordinary cost and risk of running its Machine: power, cooling, the internet connection, and wear of its components, including storage written to by a Rental.

Server Room does not insure a Host's Machine, premises or connection, and does not compensate a Host for damage, wear or loss. A Host that wants cover should arrange its own insurance.

A Renter is responsible to the Host for damage it causes to a Machine by breaching these Terms. Server Room is not a party to such a claim, and will provide the records it holds where the law permits or requires it.

11. No warranties and limitation of liability

The marketplace, the Agent and the Relay are provided "as is" and "as available". Sections 11 and 12 of the Terms of Service apply to Hosts and Renters alike.

Server Room does not promise a Host that its Machine will be rented, or for how long, and does not promise a Renter that a Machine will stay listed or available.

Server Room's total liability to a Host, if any, shall not exceed the platform fees Server Room kept from that Host's earnings in the three (3) months before the event. Its total liability to a Renter, if any, shall not exceed the fees the Renter paid for the affected Rental period.

12. Indemnification

The Renter agrees to indemnify and hold harmless Server Room and the Host of the Machine it rents from any claims, losses, damages or expenses arising from the Renter's use of a Rental, the content it stores or transmits, or its violation of these Terms or applicable law. The Host may rely on this section directly.

The Host agrees to indemnify and hold Server Room harmless from any claims, losses, damages or expenses arising from the Machine, the Host's right to list it, the Host's breach of these Terms, or the Host's access to or interference with a Rental.

Server Room does not indemnify Hosts or Renters.

13. Suspension and termination

A Host may leave the marketplace at any time by removing its Machines; earnings accrued until then are paid at the next payout. A Renter may end a Rental at the end of a paid period. A Rental paid from the Balance may also be ended at any time, without a refund of the period that has started.

Server Room may suspend or remove a listing, a Rental or an account that breaches these Terms, fails verification, or puts the marketplace, a Host or a Renter at risk. Sections 9 to 12 survive termination.

14. Changes, governing law and contact

Server Room may update these Terms by posting a new version here. A change applies to a Host from its next payout period and to a Renter from its next paid period.

Section 16 of the Terms of Service (governing law, venue, jury waiver, fees and severability) applies to these Terms.
